The Law Office of Bryce A. Lenox, Esq. is a boutique firm in Cincinnati, Ohio focused on commercial law, business litigation and ESOP fiduciary services.  Its founding member, Bryce Lenox, has represented parties in high-stakes cases throughout the United States, and is admitted in Ohio, Kentucky, and six federal jurisdictions.  Currently, Bryce is a directed trustee for nine employee stock ownership plans in various industries.  Prior to his legal career, Bryce was an accountant, and has a deep understanding of the business and financial needs of his clients.   

 

The firm was founded on several core principles.  Our goal is to be your "lawyer for life", so we strive to build solid client relationships from the outset. With over twenty five years of experience, we understand the importance of getting to know you, your goals, and the outcome you desire.  We always look at the big picture, which helps us to craft the best strategy to meet your needs. We will always work toward the most effective solution.

Second, we strive to be cost-effective by offering lower rates than big firms. We recognize that Class A office space does nothing to solve your problem or advance your case.  And, because we offer flat rate fee arrangements on some matters, we can keep your rates manageable, predictable and affordable.

BRYCE A. LENOX, ESQ.

Bryce is an experienced trial lawyer and trusted advisor to businesses and individuals. He practices commercial litigation in federal and state courts and has extensive first-chair trial experience, bringing numerous jury trials to successful verdicts.  In addition to his litigation practice, Bryce counsels corporate clients on a variety of topics.

 

Bryce has secured significant results for clients before juries, judges and arbitrators, and has successfully negotiated multi-million dollar settlements in matters ranging from consumer class actions to complex product liability and intellectual property disputes. He has represented in court and counseled a variety of clients, ranging from Fortune 500 corporations to individuals and family businesses, in federal and state trial and appellate courts. Bryce also serves as a court-appointed mediator for the Hamilton County Common Pleas Court. 

 

Prior to law school, Bryce worked in public accounting and attained CPA certification (presently inactive), which has enabled him to take on cases involving accountants and accounting issues.  Bryce has represented corporations and corporate CFOs and controllers in cases regarding accounting irregularities, and accounting firms facing SEC and the Public Company Accounting Oversight Board ("PCAOB") inquiries.  Bryce has assisted in providing reports of such matters to audit committees, responded to broad agency-issued subpoenas, and negotiated favorable settlements of agency charges.

 

Bryce also acts as an independent, directed trustee for multiple Employee Stock Ownership Plans in various industries, including food and food equipment services, graphics and technology, lighting, plumbing, construction, trucking and logistics, and healthcare services.  Bryce's ongoing ESOP clients range in enterprise value from $6 million to over $200 million and are located in five states. Bryce is passionate and committed to emplyee ownership, and is an active member of the ESOP Association and the National Center for Employee Ownership. 

 

Bryce actively participates in a number of community and professional organizations. He is a board member and the former Vice President of Program for the Dan Beard Council of the Boy Scouts of America.  He is the former President of the Cincinnati/Northern Kentucky Chapter of the Federal Bar Association, is a former board member of Summer Work Experience in Law (SWEL), and was a member of the 2005 class of the Cincinnati Academy of Leadership for Lawyers.  Bryce has taught Managerial Ethics as an Adjunct Professor at the Northern Kentucky University School of Business.

CONSTRUCTION LITIGATION

Disputes and claims in construction projects are often unavoidable, given the number of players, the unpredictability in weather and the frequent movement in material and labor costs. We have experience handling construction contract and warranty disputes, subcontractor liability, delay and extra work claims, defective design and construction claims, mechanic’s lien claims, and employee and third-party personal injury claims. Our experience and knowledge of the construction industry and ever-changing law helps us to achieve successful results for our clients.

INTELLECTUAL PROPERTY LITIGATION

We have deep experience helping clients as both plaintiffs and defendants protecting their brands through claims of trademark and trade dress infringement, as well as unfair competition, false advertising, and misappropriation of trade secrets. We have litigated both jury and bench trials in federal and state courts in several states. ESTATE PLANNING

ESOP TRUSTEE SERVICES

We  provide fiduciary services to both existing and contemplated qualified plans offering company stock as an investment.   For existing ESOPs, we performs ongoing work, including monitoring  financial performance and corporate operations, and annual valuation of stock utilizing one of several reputable valuation firms.  In addition, we coordinate administration of your qualified plan with the record-keeper and the company.  

 

For private companies exploring the possibility of employee ownership transaction, we serve as the transactional trustee charged with deciding whether or not to acquire the company stock from its owners.  In doing so, we appoint trusted advisors and valuators to assist in determining a value, which under DOL guidelines cannot exceed fair market value.  Ultimately, we negotiate all the terms of the ESOP transaction and, if a deal is reached, proceed to close.
